These Terms of Service ("Terms") govern your use of the Hedges VIP product platform operated by Meridian Rock, PTD LTE, including the VIP card program, digital wallet passes, the enrollment portal, and the management portal at www.hedgesvip.com. By using any part of this platform, you agree to be bound by these Terms.

1. Eligibility

You must be 21 years of age or older to enroll in the Hedges VIP card program or to use any services associated with it. By enrolling, you attest and confirm that you meet this age requirement. Misrepresentation of age is grounds for immediate card revocation.

2. Service Description

Hedges VIP is a digital VIP card platform for nightlife and entertainment venues. The platform enables participating venues to issue digital VIP cards via Apple Wallet and Google Wallet, track venue entry and attendance, offer cover charge waivers, drink discounts, and promotional offers, and manage customer relationships through a secure management portal.

3. VIP Card Program

Enrollment: You may enroll in the VIP card program at participating venues through QR code scanning or in-person registration. Enrollment requires your name, phone number, age attestation, and acceptance of these Terms. Email is optional.

One Card Per Venue Operator: You may hold only one active VIP card per venue operator. Attempting to create duplicate cards may result in suspension of your account.

Digital Wallet: Your VIP card can be added to Apple Wallet or Google Wallet for convenient access. The digital card is personal and non-transferable.

4. Card Usage and Benefits

Door Entry: Present your VIP card at the venue entrance for scanning. Your first scan each business night creates an entry record and issues a ticket for benefit redemption.

Benefit Redemption: Discounts and benefits require a valid ticket for the current business night at the issuing venue. Tickets must be redeemed before discounts can be applied to your tab.

Discount Scope: Drink discounts apply to liquor, beer, wine, and non-alcoholic beverages on your tab. Bottle service is excluded from all discount programs.

Promotional Offers: Venues may issue time-limited promotional offers with specific terms, usage limits, and eligibility requirements. Offer details are provided at the time of issuance.

5. Card Levels and Perks

VIP cards may have different levels (e.g., Silver, Gold, Platinum) with varying benefits. Perk availability, including cover charge waivers and discount percentages, may vary by venue, card level, and current promotions. Venues reserve the right to modify perk structures at any time.

6. Card Inactivity and Expiration

VIP cards that have not been used for door entry at any participating venue for six consecutive months will be automatically expired due to inactivity. Expired cards cannot be used until reactivated by venue staff. Venues are not obligated to reactivate expired cards.

7. Prohibited Conduct
You agree not to:
  • Share, transfer, or lend your VIP card to another person
  • Attempt to use someone else's VIP card or ticket
  • Create multiple accounts or cards to circumvent program limits
  • Tamper with, forge, or reproduce VIP cards, tickets, or QR codes
  • Exploit the system to obtain benefits you are not entitled to
  • Interfere with or disrupt the platform's operation
8. Fraud Detection and Enforcement

We employ automated fraud detection systems that monitor for invalid card scans, duplicate scan attempts, location mismatches, and suspicious patterns. Detected fraud may result in card suspension or permanent revocation, denial of entry and benefits, and reporting to venue management. Venue managers may also suspend or revoke cards at their discretion with documented reason.

9. Staff Portal Accounts

Access to the management portal is provided by venue operators to authorized staff. Staff accounts are subject to role-based permissions and are tied to specific venues and operators. You are responsible for maintaining the security of your login credentials.

Staff accounts may be deactivated by the venue operator at any time. Unauthorized access to the management portal or misuse of staff privileges is strictly prohibited.

10. Privacy

Your use of the platform is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the platform, you consent to the data practices described in the Privacy Policy.

11. Limitation of Liability

The Hedges VIP platform and participating venues provide the VIP card program on an "as is" basis. We do not guarantee uninterrupted access, specific benefit availability, or error-free operation.

To the maximum extent permitted by law, Hedges VIP and its participating venues shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or participation in the VIP card program.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of the platform after changes constitutes acceptance of the updated Terms.

13. Termination

We or any participating venue may suspend or terminate your access to the platform or VIP card program at any time, with or without cause. You may also request deletion of your account by contacting venue staff. Upon termination, your access to benefits ceases immediately.

14. Governing Law

These Terms are governed by the laws of the state in which the venue operator is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.
